"The second annual meeting of the shareholders in Messrs. Clayton and Shuttleworth Limited took place at the Lincoln offices on Wednesday afternoon. There was a fairly large attendance, but all were satisfied with the results of the year's working that the proceedings lasted less than half an hour. Mr. F. S. E. Drury was in the chair, and was supported by Mr. A Shuttleworth, Colonel Mason, Mr. H Watson (directors), Mr. Sparkes, Mr. R. A. Stephen (solicitor) and Mr. J Harris (secretary). after the report was adopted, the Chairman went on to provide a further narrative.
".....while dealing with the question of foreign tariff, he would like to inform the shareholders the directors has thought it advisable for the future of their business in Russia, with its protective duties, to secure a material interest in the firm of Hilfferich Sadet, at Charkow. The founder of the firm was, from 1859 until his death in 1902, their agents in those districts of Russia, and for all those years most satisfactory business relations had prevailed. Mr. Helfferich owned the manufactory at Charkow, with branches in various parts of Russia, and a few years ago he formed his business into a company with capital of 1,250,000 roubles, in 250 shares of 5,000 roubles each. At his death last year they availed themselves of the opportunity of securing a direct business interest in the business and cementing their relations with a more binding tie, and after considerable negotiations, they obtained the offer of 77 shares. That, however, was a larger investment than they desire at the moment, and therefore they took 25 shares, and Mr. A. Shuttleworth and Col. Shuttleworth, who were always ready to come forward with their purses for the benefit o the business, acquired the balance between them. the company paid a dividend last year of 12 per cent., and it was expected that during next month a larger dividend would be declared for the year ending December 1902. The has thus obtained by a comparatively small outlay a substantial holding, which not only consolidated existing relations with Messrs. Helfferich, but which placed them in the position of regarding with greater equinimity the event of a still higher tarrif preventing the importation of their goods from England........"

We are authorised to state that Mr. P. W. Robson, Managing Director of Clayton and Shuttleworth, Ltd., has been appointed a Director of Helfferich-Sadet, Ltd., of Kharkov, which is on of the largest and most successful of Russian firms in the agricultural machinery business. It has a vast selling organisation throughout South Russian and in Siberia, and the head offices are at Kharkow, where the firm also has a large works for the manufacture of implements. The greater part of Clayton and Shuttleworth's extensive Russian trade in steam thrashing machinery has been conducted through Helfferich-Sadet Ltd., for very many years, and the present appointment will be obviously to the advantage of both concerns.
